About
Schedule1's premise is that fund compliance is the same job every cycle, done by hand, where one wrong field restarts the whole thing. Its product reads every page of a closing's subscription agreements and flags the errors that would get a subscription rejected — an accredited-investor paragraph initialled under an individual category on a document signed by a corporation, a net-assets figure on page 11 that contradicts the certificate on page 4, a risk-acknowledgement form dated but unsigned — citing the page each one appears on. Alongside that it watches a restricted list for announcements as they land, tracks beneficial ownership at the share counts' source, and produces filing-ready output for 13D/13G and Canadian 45-106 reporting, with an audit log behind each item. The company names its modules Sub Scrub, 45-106 Prep, Beneficial Ownership and Restricted List, and sells to compliance and IR teams across the capital markets. Saif Ajani, who co-founded the Toronto social-listening tool Keyhole and sold it to Muck Rack in 2024, is its co-founder and chief executive.

Quick answers
What does Schedule1 do?
It takes recurring compliance work off fund compliance and IR teams: reviewing subscription documents for errors before acceptance, watching restricted names for news, tracking beneficial ownership, and preparing 13D/13G and 45-106 filings with an audit log behind each.
Who is it for?
Compliance and investor-relations teams at investment funds and across the capital markets — the people running the same document review at every closing and the same filings every quarter.
Who founded it?
Saif Ajani is co-founder and chief executive. He earlier co-founded Keyhole, the Toronto social-listening tool acquired by Muck Rack in August 2024, which he grew on customer revenue after buying his investors out around 2013.
