About

Goldstein's account of the founding, given on TechTO's Founder Journey in April 2023, starts at a whiteboard some time in 2016. Both founders had spent about a decade advising clients on how capital raises work; what they wrote down was how those raises should work instead. The old process was paper: a lawyer drafts a subscription agreement, the company finds investors who meet the eligibility rules, the documents go back and forth offline, and nothing about who bought what ever becomes data. Goldstein's comparison is retail before e-commerce — a shop that sells you shoes and learns nothing about you. DealMaker turns the raise into a transaction with a record: who is interested, who bought, how much, and what else they might want. Neither founder was an engineer, so the first hire they looked for was a technical partner. The company has since added broker-dealer, transfer agent and payment-processing services around the core platform.

Quick answers

What problem does DealMaker solve?

Capital raises that run on paper. The traditional process moves subscription agreements offline through a lawyer's office and generates no data about who invested or why, which DealMaker replaces with a transactional platform and an investor record.

Who founded DealMaker?

Rebecca Kacaba and Mat Goldstein, in Toronto in 2016. Both were practising capital-markets lawyers before starting it.

Is DealMaker still Canadian?

It was founded in Toronto. Its own about page now gives a New York head office address, so the centre of gravity has shifted; the Canadian origin is not in question.
